Similar to municipalities, local councils, and other member-based organizations, Intersect has a governing board occupied and administered by its members, with various committees and working groups focused on specific domains and interests.
The design of Intersect’s governance and membership structure helps identify strategic priorities for Cardano’s development by having broad representation through a diverse global membership base.
Intersect is incorporated in Wyoming, United States, as a Mutual Benefit Nonprofit organization in accordance with applicable state laws. Given the state’s receptiveness to innovation and new technology, specifically around blockchain and DAOs, it was the ideal jurisdiction to incorporate Intersect.

Our focus in 2024 has been:
Supporting the rollout of Cardano's on-chain governance through support services for the ICC and DReps, plus tooling (like Cardano GovTool) and hard fork facilitation.
Creating a shared Cardano product roadmap to take Cardano into 2025 and beyond.
Establishing an annual budget process for Cardano, utilizing Cardano's treasury to support key areas such as core infrastructure, research and development, community grants, marketing/growth. and more.
We have translated the application form for the Intersect Committee elections into five different languages to ensure accessibility for a broader audience. The available languages include Spanish, French, Portuguese, Sinhala, and Japanese. This effort aims to encourage greater participation and inclusivity within the community by making the application process more accessible to non-English speakers.

The audit for this election has been performed by DQuadrant.
The first review of the audit pointed out a some duplicate votes submitted due to a bug in the voting tool database. During pick time, the database speed allowed some members to submit more than one vote for the same candidate in the same voting event by clicking more than once on the voting button. Because it is one member one vote, it was easy and without risks to identify the duplicates and remove them from the results to get the correct counting (even if kept those votes, in total 55, would have not changed the results).

The Membership and Community Committee (MCC) fosters a thriving Cardano community through effective Intersect membership sales, account management, community support, tooling grants, education, and engaging events.
It devises strategies to engage community members, promote collaboration, and encourage meaningful contributions. By organizing events, forums, and online platforms, the committee creates spaces for interaction and knowledge-sharing among community participants.
The MCC oversees membership within Intersect and, by doing so, ensures that each member has access to benefits and opportunities for fuller participation in Cardano’s growth and development. The MCC also reviews, accepts or rejects proposals for community Working Groups.

The MCC will be holding committee elections at the start of H2 in collaboration with the other Committees (Civics, Open Source, etc) to fill its 10-seat committee. The MCC hosts public meetings every four weeks for all members of Intersect to join.

We originally designed a Vision committee for Intersect as our 7th committee with the remit to manage visionary scope and roadmap for future development items.
We now see that we need a committee to manage a variety of different types of Cardano development scope and establish a roadmap. In this way, Vision could then become a category of the scope where other categories of scope can be Continuity (maintenance, upgrades, and core development), features, or research. The scope may also include categories such as marketing, promotion, or other non-technical categories.
Vision, strategy, and roadmap are all elements of a product function, because of this in its first meeting the committee updated its name from Roadmap Committee (originally Vision Committee) to Product Committee.
The Product committee facilitates the processes that help the Cardano community to create a vision and a strategy.
The Product committee will cover topics such as roadmap, focusing on the 'why' and the related strategy, long-term vision and broader user/customer needs.
Any member of Intersect can run for election to become a voting seat, and any member or associate of Intersect can connect to the Product committee via the Intersect discord server.

In October, the Committee Elections will be held. These elections allow members to participate in shaping the committees that drive progress across critical areas such as governance, technical development, community engagement, and more.
To participate in voting, members must meet the following criteria.
Only members who have either:
Been part of Intersect for at least 3 months prior to the start of voting, or
Have successfully completed the verification process, will be eligible to vote.
No Verification Required (3-Month Members): Members (individual or enterprise) who joined on or before 16th July 2025 at 12 PM UTC are eligible to vote without needing verification.
Verification Option (Recent Members): Members who joined before 16th October 2025 at 12 PM UTC but after 16th July 2025 must complete verification to vote. Verification can be done any time before voting ends.
Intersect is designed to be steered by its members so the future of Cardano is community-led. The membership body provides this steering via standing committees. Standing committees are designed to be community-led, with community members taking an active role influencing the future of Cardano.
Intersect will initiate seven standing committees in 2024, covering the functional operations required to steer the delivery of "", provide steering direction to the drafting of Cardano's constitution, support the internal membership, and more. A standing committee is expected to be a permanent fixture, although, changes may be required as the committees mature and the objectives evolve. The will review proposed changes and support the membership.
Working groups typically roll up into one of the seven committees. Working groups are, for the most part, temporary functions that support a committees' wider objectives or to expand expertise by seeking contributions from outside of Intersect. Working groups can be on any subject and are by nature less formal than standing committees.

The Civics Committee provide facilitation and oversight to the Cardano Community related to the governance of Cardano. This includes developing and facilitating processes to engage the Cardano Community in governance, coordinating with subject matter experts where needed, and providing support as requested by the Cardano Constitutional Committee.
The Cardano Civics Committee ensures that Cardano's governance is accessible, fair, and transparent.
While not all of these topics are addressed yet, the vision is for the committee to cover topics such as:
Facilitate a ratification period for the constitution.
Enable and maintain the history of off-chain discussions about proposals.
Monitor tools for on-chain voting to verify that they are maintained and operational.
Update guidelines, templates, and standards for on-chain voting.

The audit of the Committee Elections was conducted by the DQuadrant team, following a rigorous verification process to ensure accuracy and integrity. This included validating the data integrity of the vote exports (CSV and JSON), checking that each vote record met the required schema fields, and confirming voter eligibility by verifying membership status and purchase dates relative to the registration snapshot. The team also reviewed the timing of all votes to ensure they fell within the authorized voting window. Finally, DQuadrant independently tallied all valid votes by candidate and reconciled their results with Intersect’s internal counts to confirm full alignment.

The Technical Steering Committee ensures that the governance of Cardano is based upon sound technical awareness and best practices.
The committee is a rallying point for key members, suppliers, and third parties to coordinate the delivery of development services to support the Cardano blockchain. The committee facilitates contract arrangements and service level agreements, creates proposals of technical concern, reviews, and evaluates proposals prepared by the Cardano community, such as parameter updates or hard forks.
Takes a leading role in defining and advising on Cardano Continuity development to support the Cardano network, including contracts and agreements with Intersect members. It’s a highly technocratic committee, providing deep technical analysis and advice to ongoing development projects, parameters settings (through the Parameter Committee), and any other network related conditions.

There is no set amount for this award, as we would prefer applicants to specify the amount needed to implement their proposed solution, allowing for a broader range of creativity. About Phoenix Alliance Phoenix Alliance is a newly formed consortium created through the unification of two respected governance groups in the Cardano ecosystem: Adara and the CCC. Both groups stood in the previous Constitutional Committee election, placing 8th and 9th respectively (with seven seats available). Following the unexpected vacancy on the Constitutional Committee and the need for a snap election, members from both consortia reflected deeply on how best to serve the ecosystem at this critical moment. In recent months, both groups faced significant losses, Adara through the departure of two core members, and CCC through the passing of one of their valued members. This change in composition meant neither group could stand independently in the snap election in a way that honoured their original commitments. Instead of stepping back, we choose to step forward together. Phoenix Alliance represents the merging of the remaining members of both consortia into a single, stronger, coordinated team, united by shared values, complementary expertise, and a belief that Cardano governance is most resilient when its contributors collaborate rather than compete. Like our namesake, Phoenix Alliance stands for renewal, continuity, and transformation. We carry forward the knowledge, experience, and ethos of both Adara and CCC while building something new, specifically formed to serve the Cardano community in this moment and to strengthen the long-term foundations of decentralized governance.

Design phase: based on initial requirements collaborate with the related WG and supporting Intersect team to refine the technical plan and user experience. The outcome should be a detailed list of critical requirements, an architecture map on how to achieve them by using the choosen exiting open source tool as a starting point, and a flow and set of screens to support the experience. By 4th April - (3 weeks)
Development phase: adapt the open source tool following the plan defined in the previous phase. Development and testing. Outcome release ready version on an environment for final testing. By 9th May - (5 weeks)
Final testing: perform at least one test vote to confirm the solution is stable and reliable for the cc vote and its results are fully auditable. By 23rd May 2025 - (2 weeks)

Intersect supports the growth of decentralized and inclusive systems through technology and education, the administration of Cardano’s governance processes enabling technical changes, and advocacy. This can translate to internal operations and providing funding to develop Cardano’s open-source technology.
To establish Intersect and provide sufficient capital to operate, Intersect has been seed funded by members Input Output Global and Emurgo. On the proviso that Intersect becomes a success in 2024, Intersect will seek funding for 2025 via a community vote from the Cardano treasury or alternative sources.
Cardano has an underlying operational cost to keep the network running each year. This includes maintenance, upgrades, and a variety of technical innovations to ensure Cardano continues to be current and a leading blockchain. Initially, for 2024, members Input Output Global and Emurgo have funded Cardano’s continuity. This funding enables a collection of members to continue supplying technical services to deliver the core operations. In Q1, Intersect will announce the scope of services these members have planned for 2024.
To hold these initial operational funds, Intersect designed the Cardano Development Trust (DevTrust). This is a fund that’s mandated to only use its funds for the benefit and development of the Cardano blockchain. The DevTrust acts as a vehicle to support and fund the continuity & vision contracts, and other commitments (such as grants). Intersect’s mandate is to administer the DevTrust to fulfil contractual agreements and earn service fees to support its operations.

Intersect is launching a small-grant program to accelerate adoption of CIP-149 (Optional DRep Compensation) across the ecosystem.
This initiative is designed to pilot a low-cost, opt-in, data-driven mechanism that enables Ada holders to voluntarily donate a portion of their staking rewards to their chosen Delegated Representative (DRep). Proposals must be submitted by the due date for the relevant funding opportunity. You can find the application links on the specific committee's "Request for Funding" page.
Proposals will be reviewed and preferred candidates will be selected by the relevant Committee, with support from Intersect's operational services team.
All decisions are reviewed and ratified by the Intersect commissioning committee. Final decisions will be recorded and shared with the Intersect approving executive for final sign-off.
All proposers will be notified of the decision via the contact email provided in their submission. Preferred candidates will then be contacted by Intersect Procurement team to and finalize contract details.

An annual member meeting is a formal gathering held annually by an organization, such as a nonprofit, where its members come together to discuss and vote on important issues. These meetings typically serve several purposes:

Annual member meetings are important for maintaining transparency, accountability, and member engagement within the organization.
Intersect is a member-based organization for the Cardano ecosystem, putting members at the heart of Cardano’s future development. Intersect is incorporated as a mutual-benefit not-for-profit organization in Wyoming, USA. Our state obligations require that we hold an annual meeting for members.
The annual member meeting is an opportunity for members to connect, review the work done over the year, and discuss important topics.
Intersect’s initial governing board comprises five member seats. To establish operations, three board members have been appointed with representatives from seed funders and members, with Input Output Global, Emurgo, and the COO as interim on the third seat. The third seat has been offered as an academic position to Wyoming University’s Blockchain Center of Excellence. The seed funder seats have a three-year term in consideration of funding given, whilst the academic seat will have a one-year tenure.
The remaining two seats have been filled from Intersect’s membership, with elections held in the October 2024 election.
The board is currently reviewing the pan to expand the board to 7 member of which 4 will be elected from the membership.

1. Introduction
Intersect is administering an election process for the Constitutional Committee (CC). This document outlines the guidelines governing the use of services provided by Intersect for this purpose. By taking part in this CC election process, participants indicate their acceptance of these guidelines.
2. Role of Intersect
Intersect's role is strictly focused on providing the platform and tools necessary for conducting this CC election. Intersect does not possess ownership of, nor exercise control over the Constitutional Committee. The CC operates as an independent entity.
3. Constitutional Framework
This election process is conducted based on the principles of the current Cardano Blockchain Ecosystem Constitution. Participants involved in this election process are expected to be acquainted with and follow the principles and guidelines detailed in the Constitution.
4. Scope of Responsibility
Intersect does not hold responsibility for any actions, decisions, or failures to act by the CC, its members, or any participants in this election process. Furthermore, Intersect is not accountable for the outcome of this election, the operational conduct of the CC, or the execution of any decisions made by the CC.
5. Eligibility and Participant Information
The criteria determining eligibility to participate in a CC election process are established within the Cardano Blockchain Ecosystem Constitution. Participants bear the responsibility for ensuring the accuracy and completeness of the information they provide during this election process. Intersect is not accountable for any inaccuracies or omissions in information supplied by participants.
6. Election Process Administration
This election process will follow the procedures and rules set forth by Intersect, ensuring alignment with the Cardano Blockchain Ecosystem Constitution. Intersect retains the capacity to modify aspects of this election process should such changes be necessary to maintain a fair and transparent election.
If the application doesn't look genuine or if it looks incomplete the CC election working group will try contact the applicant to get confirmation. If that step is unsuccessful the working group will be able to make a decision to keep or hide the application (no application will be deleted). If the working group decides to hide one application the decision will be documented and communicated publicly. If the applicant would like the application to be reinstated they will simply have to contact [email protected] or reply to the original email before the voting period starts.

Following a member of Cardano’s Constitutional Committee (CC) retirement, effective 25 November 2025, the Committee will below the minimum size required by protocol parameters. In September, the Intersect Board Elections will take place — a vital opportunity for members to help select the individuals who will oversee Intersect’s strategic direction and ensure it remains aligned with its mission and community values. During this time members will be able to elect 4 board members out of the 7 that compose the Intersect Board.

Verification Option (Recent Members): Members who joined before 15th September 2025 at 12 PM UTC but after 15th March 2025 must complete verification to vote. Verification can be done any time before voting ends.

The registration process is divided into stages to make it clear and simple. Each applicant type has slightly different requirements. Once submitted, your candidacy will appear publicly on the Candidates page.

Candidates are required to complete a Proof-of-Life (PoL) check. This ensures legitimacy, transparency, and trust in the election process.

1. Election Context & Importance
Following the retirement of a Constitutional Committee member, the committee has fallen below the required minimum size of 7. To maintain constitutional continuity and ensure the governance system remains functional, a Snap Election is being held to fill this single vacancy.
Goal: Elect 1 member to complete the term of the retired member (ending Sept 6. 2026, Epoch 653).
Why Vote? Your participation upholds the legitimacy and resilience of Cardano’s governance model.

To participate, you must have:
DRep Registration: You must be a registered DRep included in the snapshot taken at the end of Epoch 597.
A Signing Tool: You need one of the following:
A CIP-95 compatible browser wallet (e.g., Eternl, Yoroi, Lace).
OR The Cardano Signer tool for those preferring a non-browser extension method:
Click the "Connect Wallet" button at the top of the page.
A login screen will appear offering two options:
Option A (Browser Wallet): Select "Connect Wallet," then choose your provider (e.g., Eternl, Lace).
Option B (Cardano Signer): Select "Use Cardano Signer" if you are using the CLI/standalone tool.
Once connected, go to the Dashboard or Home tab.
Look for the section labeled "Live".
Find the ballot titled "CC Snap Election" and click to open it.
Inside the ballot, you will see the candidates (Individuals, Consortia, or Companies) vying for the vacant seat.
Explore: Click "View Candidate" on candidate cards to read their details and alignment.
Select ONE Candidate: As there is only one seat available, you must select only one candidate to support.
Vote Selection: Click the vote option associated with your chosen candidate.
Selection is NOT Submission: Selecting a candidate simply "saves" your choice locally. You must perform the next step to make it official.
Your vote is not counted until you submit it to the chain/database.
Look for the Notification Bell Icon 🔔 "Unsubmitted Votes!" near the top of the screen.
Click the bell and follow the prompts to Submit Votes.
Final Signature: Your wallet or Cardano Signer will prompt you one last time. Sign the request to officially cast your ballot.
Only DReps are eligible to vote.
Stake-Based Voting: This is not one-person-one-vote. Your vote is weighted based on the amount of Ada delegated to your DRep ID.
Their voting power equals their delegation at the snapshot.
Delegation Snapshot: The final voting power applied to your vote is determined by the delegation your DRep ID holds at the time of the snapshot (December 5th, end of Epoch 597).
Editing Votes: You can change your vote as often as you like while the ballot is open (November 26th - December 5th) by repeating the steps above.
The latest round of committee elections has officially concluded. We had an impressive 118 candidates across all committees—an incredible demonstration of commitment and interest in shaping the future of Intersect. During the voting period, 522 unique members cast their votes, representing 27% of the eligible paying membership. This level of participation highlights the growing engagement in Intersect’s governance process.

Introduction
This document outlines an optional three-step task for applicants to the Constitutional Committee (CC). Completing this task allows applicants to demonstrate key skills relevant to the CC role: technical proficiency in credential management (Steps 1 & 2) and the analytical ability to evaluate governance actions within Cardano's framework (Step 3), all performed in the SanchoNet environment.
Overall Objective
To successfully generate cold credentials, get enrolled in the SanchoNet CC, authorize hot credentials using your cold credentials, and then use the hot credentials to evaluate, vote on, and justify a position on a governance action on SanchoNet, submitting your vote rationale in the application form.
Step 1: Generate Cold Credentials
Purpose: To demonstrate the fundamental technical capability required to create secure cold credentials necessary for participating in Cardano governance.
Task: Generate a set of cold credentials on the SanchoNet environment. As an initial part of this step, you must contact Mike Hornan to request a transfer of tAda to your wallet to cover transaction fees and necessary deposits on SanchoNet.
Method: You are free to use any method or toolset you prefer (e.g., cardano-cli, hardware wallets, or other available tools).
Outcome: Successfully created cold credentials, which will be used in Step 2.
Submission Deliverable (from this step): Prepare the required output demonstrating successful cold credential generation in preparation for Step 2.
Step 2: Enroll in SanchoNet CC and Authorize Hot Credentials
Purpose: To first get enrolled in the SanchoNet CC using your cold credentials, and then to demonstrate the ability to use these existing cold credentials to securely authorize hot credentials, enabling active participation like voting within the governance system.
Task:
Using the cold credentials generated in Step 1, you must first contact to request enrollment into the SanchoNet CC.
Once enrolled, use the cold credentials generated in Step 1 to authorize a corresponding set of hot credentials on SanchoNet. These hot credentials should be suitable for submitting votes.
Method: Utilize appropriate tools compatible with your chosen cold credential method from Step 1 for authorizing hot credentials.
Outcome: Successfully enrolled in the SanchoNet CC and subsequently authorized hot credentials linked to your cold credentials, ready for use in Step 3.
Step 3: Evaluate, Justify and Vote on Governance Action
Purpose: To demonstrate understanding of Cardano's governance framework, constitutional principles, and the ability to apply them by evaluating a proposal, casting a vote, and articulating the reasoning.
Context & Prerequisites for Evaluation:
A Net Change Limit (NCL) is established at 350 Million Ada and we are within the time period set by the NCL.
114 Million Ada has already been withdrawn under this NCL.
A budget corresponding to the proposal is approved.
Reference the current Cardano Blockchain Ecosystem Constitution.
Governance Action to Evaluate: "Project Nova Funding Proposal”

Justify: Write a clear rationale explaining your constitutionality decision.
Submission Deliverable (from this step): Submit a copy of your vote rationale in the application form. Use CIP-136 Governance Metadata standard.

Who Can Apply and How Election Works
The opportunity to help shape the future of Cardano's governance by serving on the Constitutional Committee is open to any Ada owner. Whether you hold a small amount or a large amount, you are eligible to put yourself forward as a candidate.
In this election, all seven seats are up for vote.
In response to community feedback and to maintain consistency with evolving governance procedures, the election to the Committee will be determined through a DRep-based voting system. This official change means that Delegated Representatives (DReps) will vote to select the members of the Constitutional Committee. The candidates who garner the most support from the DReps will be elected. DReps will be able to cast their votes using hot wallets, cold wallets, and the command-line interface (CLI).
As a member-driven organization, Intersect empowers the community to shape the future of the Cardano blockchain. Our committees play a vital role in governance, strategy, and ecosystem development. To ensure transparent and effective representation, we invite community members to step forward and apply for a committee seat in the upcoming 2025 elections.

CC plays a crucial role in upholding the principles and rules outlined in the Cardano Constitution. Who can register?
Participation is open to the entire Cardano community. Any owner of ada is eligible to join Intersect and put themselves forward as a candidate. This includes:

The assignment of these term lengths will be determined by the election results in the following manner:
The candidate receiving the highest number of votes will have the first choice of selecting either a 146-epoch term or a 73-epoch term.
The candidate with the second-highest number of votes will then make their selection from the remaining available term lengths.
This process will continue sequentially for all seven elected candidates, based on their vote ranking from highest to lowest.
If all terms of a particular length (e.g., all three 146-epoch terms) are selected before all candidates have chosen, the remaining elected candidates will automatically be assigned the other available term length until all seats are filled.
Optional Tasks to Demonstrate Capabilities
In addition to the main application requirements, candidates have the opportunity to undertake an optional three-step task. Completing this task allows applicants to demonstrate key skills relevant to the CC role: technical proficiency in credential management (Steps 1 & 2) and the analytical ability to evaluate governance actions within Cardano's framework (Step 3), all performed in the SanchoNet environment. The overall objective is to successfully generate cold credentials, authorize hot credentials using them, and then use the hot credentials to evaluate, vote on, and justify a position on a governance action on SanchoNet, submitting a URL to the required evidence.

What to Include in Your Application
The application form requires specific information to help voters understand your candidacy. Here’s what you’ll need to provide:
Common Requirements (All Applicants):
Candidate Details: Candidate information including biography, contact details, relevant social media handles, a summary of your experience pertinent to the CC role, and a declaration of any potential conflicts of interest.
Optional Candidate Video: An option to include a link to a video presenting yourself, your consortium, or your company's platform.
Specific Requirement (Consortia Applicants):
Member Information: If applying as a consortium, there will be a dedicated field to provide specific information about each individual member contributing to the joint candidacy.
Verification and Profile Management:
Optional Verification: The application includes optional fields allowing you to request a call with staff involved in the election process should you wish to verify your identity or in case you have any questions about the application.
Post-Submission Edits and Deletion: You can edit your submitted application, including adding information for the optional tasks, by connecting the same wallet you used to sign up. Edits are permissible up until the voting period begins on June 10th. Once voting commences, no further edits to profiles will be allowed. You may also delete your profile at any time before the voting period begins by connecting the same wallet.
Who Can Apply: Individuals, Consortia, and Companies
Applications for the Constitutional Committee are welcome from various participants within the Cardano ecosystem. You can apply in one of three capacities:
Individuals: Any eligible Ada holder applying in their personal capacity.
Consortia: Groups of individuals or entities who choose to apply together as a single collective candidacy.
Companies: Formal organizations or businesses that wish to participate and contribute to Cardano's governance via the Committee.
Election Timeline
Please take note of the following key dates for the Constitutional Committee election process:
Registration Period: May 5th – May 31st
This is the window for prospective candidates (individuals, consortia, or companies) to submit their applications. Applications can be edited until voting starts June 10th.
Voting Period: June 10th – July 1st
During this time, DReps will be able to cast their votes for their preferred candidates. No profile edits are allowed once voting begins.
Results Announcement: July 5th
Audited results of the election, identifying the seven new Constitutional Committee members and their term lengths, will be announced. All voting data will be publicly available from voting close for anyone to self audit should they want to.
Serving on the Constitutional Committee is a significant opportunity to contribute directly to Cardano governance. Election and term structure:
Following the registration and subsequent election process, seven members will be selected to form the Constitutional Committee. To establish continuity and staggered terms, as mandated by the constitution, the elected candidates will serve terms of varying lengths:
The top three elected candidates will be appointed for a two-year term.
The remaining four elected candidates will serve a one-year term.
This structure ensures a blend of experience and fresh perspectives over time.
Eligibility of interim members:
All members currently serving on the interim Constitutional Committee are eligible and encouraged to register as candidates for the upcoming election. It is important to note that continued service on the committee requires successful re-election alongside all other candidates.
Candidate engagement opportunities:
To facilitate interaction between candidates and the broader Cardano community, Intersect will be hosting dedicated X Spaces. These sessions will provide a platform for candidates to introduce themselves, share their vision for Cardano's governance, and answer questions from the community. More details on the schedule for these Spaces will be announced shortly.
Furthermore, Intersect actively encourages and will support community-driven engagement initiatives hosted outside of its own channels. Overview of the 2024 Annual member meeting
The member summits will allow community hubs to unite local members to discuss Cardano’s product roadmap and budget and how Intersect can continue supporting Cardano’s on-chain governance into 2025. The annual member summits will also be a chance to look back at the positives and negatives of Intersect’s first year and how we can build a stronger organization together.
In addition, we’ll highlight members who have submitted nominations for the upcoming committee elections and governing board seats. Voting for these positions will be held in parallel with the annual meetings.

The number and identity of candidates on the ballot match the official candidate list.
Candidate information (name, ID) is consistent and unaltered across all records.
Voter Eligibility
DRep status for each voter is verified at both the time of voting and at the end of the voting period.
Each DRep votes only up to the allowed maximum number of candidates.
The list of eligible voters is transparent and can be independently verified on-chain.

Intersect: Where Individuals come together to drive Cardano forward
This document is a draft consolidation of why Intersect exists, what’s the unique value it provides and where we aim to be if we provide that value in the next 3 years.
This document has been refined and expanded with outcomes from the 2025 member survey and direct member feedback before and will be further adjusted with feedback collected during the 2025 AMM.

Cardano was founded on cypherpunk values: decentralization, transparency, and the conviction that individuals and communities should have power over the systems they rely on. These principles are not abstract ideals, they are lived through the way the network is governed and evolves. It also does not imply a void of structure, but a structure shaped and upheld by the people who participate in it.
Since Cardano entered the age of Voltaire and governance moved from a handful of organizations to the broader community, the need for processes that support decentralized decision-making has become both clear and urgent.
While a constitution and on-chain voting provide the formal structure, a third element is emerging: voluntary, community-aligned coordination.
Coordination and consolidation of processes are critical to allow distributed decision making to work efficiently and effectively, especially in a global ecosystem like Cardano.
Cardano’s strength lies in its community’s ability to self-organize. Intersect exists to help coordinate efforts to address the most significant needs in Cardano today that require consensus, facilitating essential functions that have no single owner but are critical for the network’s progress.
We create shared understanding, standards, and shared direction, reducing fragmentation and competing interests.
We ensure these processes are transparent, participatory, and result in actionable outcomes, maintaining momentum, keeping Cardano open and community-led throughout.

Through coordination of member's expertise and effort, we help address the most significant needs in Cardano ecosystem
We provide impartial coordination of decentralised processes in blockchain ecosystems governed by their communities, specifically Cardano, guiding them to tangible outcomes (channeling effort to outcomes). We do this by helping people find commonalities, by proposing transparent standards for anyone who would like to actively provide value, leveraging a distributed global membership to reach consensus. (We help define open standards not rigid gated processes)
We support specialized member driven groups to coordinate and focus effort on areas that drive the ecosystem positive evolution.
We aim to provide the clearest and easiest entry point to participate and advance Cardano, and get value from it as a blockchain ecosystem governed by its community. We do this by acting as a reliable entity to look at when something important, that needs community participation and consensus, is happening or about to happen, and by making it easy to discover and use Cardano services provided by the ecosystem.
Through our innovative organizational structure we also help bridge and operationalize Cardano’s constitutional principles harnessing the power of the decentralised treasury and potential to the real world. We provide oversight via transparent on-chain reporting back to Cardano’s community.

Cardano’s decentralised governance is the most advanced example for the world of coordinated human constructive collaboration towards a shared better future. Intersect’s coordination of individuals and organizations has created a strong self-supporting culture for individuals to work together.
Intersect’s 2026 goals focus on the areas where the organization provides the most essential value to Cardano: coordinating critical governance processes, enabling member-led delivery, and acting as a transparent and reliable administrator of community funds.
These goals recognise the scale of what lies ahead, the many unknowns still emerging in Cardano’s decentralized governance model, and the need to pioneer solutions together with the community. They provide clear direction without assuming central authority, and they reflect Intersect’s commitment to service, transparency and predictable delivery as Cardano continues to mature.

Cardano first: We prioritize Cardano’s infrastructure and ecosystem in all our endeavors. This means Cardano’s core ethos remains very much at the heart of our DNA. It also means we advocate for and support Cardano projects, builders, founders, and all ecosystem participants ahead of alternatives. When opportunities arise—such as open positions or collaborations—we first look to our community members. We are committed to supporting the ecosystem first and foremost, and scaling through our members to ensure that Cardano thrives from within.
Transparency: We operate in the open, with clear communication. Transparency is at the root of all our processes and decisions. We operate with both implicit and explicit consent from our members, ensuring that oversight and scrutiny are integral parts of our governance. By being open about our actions and decisions, we build trust within the community and enable members to be fully informed participants in shaping Cardano's future.
Servant leadership: We believe in leading by serving. Collaboration is key, and we work hand-in-hand with our members, committees, working groups, and all stakeholders. We actively listen to our members and our elected committees at every turn, making ourselves as approachable, open, and available as possible. Our internal ways of working are rooted in supporting others to achieve their goals, fostering a cooperative environment where everyone's contributions are valued.
Cardano on-chain governance needs off-chain discussion and coordination to properly serve the people. We are a member-based organization (MBO) because our mission and value depend on collective ownership, shared governance, and community participation.
Members aren’t just customers or beneficiaries, they are stakeholders.
Members bring diverse perspectives, expertise, and lived experiences. Better problem-solving, more representative governance, and fewer blind spots in decision-making.
The organization exists to serve its members, not to maximize profit or external shareholder value. So incentives stay aligned with the long-term goals of the community.
A member-based structure amplifies collective advocacy. The organization can influence policy, standards, or industry direction with the weight of its membership behind it.
Intersect is simply an aggregation and coordination point. Without the people, who have the expertise, who are interested and passionate about making Cardano better, Intersect can’t provide any value. So Intersect as an organization needs to ensure its structure is easy to navigate and use, so that these people can connect their effort and provide value to the ecosystem.
Intersect members have the right to vote who sit in which committee and on the Intersect board, so deciding who has the right expertise for the task. Members, via their discussions and work, are the one providing the recommendations to bring Cardano, and Intersect with it, forward, playing a critical role in the ecosystem. Without their effort, today the Cardano ecosystem would not even have the right to self-govern.

In Intersect, we open paths for participation to any contributor, from the least committed one who has little time to those who take on critical roles. We do this via options for participation related to detailed subjects.
Working groups, which can be created by any member or directly via the committees, are the core places where hands-on work happens, where detailed proposals are created, and where members and associates alike, as well as external contributors, can come together with a common task.
Committees are the formal member-elected bodies, where voting members represent Intersect as an organization in relation to the remit they have assigned. They discuss the broader needs of the Cardano ecosystem to arrive at a proposed solution, which could lead to a formal proposal in Cardano’s on-chain’s governance. To do this they meet regularly, work hands-on or might create dedicated working groups, and ultimately they vote on what proposal to bring forward.
When the membership or the Intersect sees a new need emerging, they might propose or decide to promote a working group to be an elected committee, or create a working group with the purpose of creating a new committee. As the ecosystem evolves, and committees get dedicated funding to work on the specific need they support, committees might evolve into their own MBOs (see details )

Intersect membership provides different levels of commitments to the effort members want to give to Cardano. Within the Wyoming structure, it ensures voting rights, and so direct decision making, for Members.
The different membership tiers, and the free associate subscription, give participants with different needs, a set of dedicated benefits to better provide their contribution to Cardano. For example, individual membership allows individual contributors to actively participate in discussions, elections and seating in committees and Board. Enterprise membership allows members to show Cardano’s value via their services, and gives them an explicit say in Cardano’s direction, and so more control over their business core stack. Educational membership allows institutions to bring academic expertise to the conversation while onboarding new people to Cardano.
Intersect community hubs, act as the regional hearts of Intersect. They are the place where a remote global community becomes a local one, where members can connect and discuss in-person the dedicated needs and opportunities for their region.
Article II - Section 6: The Cardano Community is expected to support the creation, maintenance and ongoing administration of off-chain governance processes as may be necessary to give effect to this Constitution and to ensure that there is awareness of and an opportunity to debate and shape all future governance actions for the Cardano Blockchain.

As Intersect continues to evolve, October 2024 marked a historic moment with our first-ever full-scale elections for our committees and governing board. This significant milestone, achieved with the active participation of our global community, reflects the spirit of inclusivity and collaboration that underpins our organization.
7,244 votes were cast by 574 unique voters, representing a 37% participation rate from our members.
As we look ahead to the next round of elections in April 2025, we will conduct a thorough retrospective on this process, inviting feedback from members to refine our approach and ensure continuous improvement.
Moreover, those who were unsuccessful in this election will be invited to contribute to upcoming working groups, special interest committees, and other community-led initiatives. Intersect is an open organization, and your involvement is vital to the continued success of Intersect and Cardano.

Welcome to the Intersect Annual Report for 2025. This year marked a significant phase in Cardano's evolution, as it transitioned from a foundational setup to full community governance and implementation. Building on the infrastructure established in 2024, Intersect focused throughout 2025 on ensuring the lasting continuity and progressive development of the Cardano ecosystem through member empowerment and effective infrastructure management.
The year 2025 commenced with significant milestones, including the scheduled Plomin upgrade, which unlocked the final features of Cardano’s on-chain governance. Following this technical advancement, the delegate-approved constitution was submitted for on-chain community consideration in January 2025. Our collective efforts, in collaboration with members and the broader community, centered on refining and finalizing a sustainable budget for Cardano.
We are grateful to our members whose insights and active participation continue to drive our mission forward, ensuring Intersect remains an effective, transparent, and responsive organization.
Dear Members, Partners, and Contributors of the Cardano Ecosystem,
2025 has been a defining year in the evolution of both Cardano’s governance and Intersect’s role as its member-based organisation. As the ecosystem transitioned from foundational design to full operational governance, our collective focus shifted from preparing the system to proving it. The successful implementation of the Plomin upgrade, the submission of the delegate-approved Constitution, and the execution of Cardano’s first community-led Treasury budget together marked a historic maturation of decentralized decision-making.
Throughout this pivotal year, Intersect has worked to ensure that community intent is translated into reliable, transparent, and accountable action. Administering the ecosystem’s first full Treasury cycle required the integration of legal, technical, administrative, and oversight functions at a scale never before attempted in the Cardano ecosystem. Through global listening sessions, workshops, and the coordinated execution of 39 Treasury withdrawals, Intersect helped operationalize a budgeting process defined not by central authority, but by the collective priorities of ADA holders. The establishment of a smart-contract–based payment framework and strengthened delivery assurance processes now provide a durable foundation for future Treasury cycles.
2025 also marked significant progress in Intersect’s internal governance. Committees became fully elected bodies, the Board transitioned to a member-elected majority, and enhancements were introduced to our election processes, rewards structures, and decision-making frameworks. These changes underscore a central principle: Intersect MBO exists to serve its members and to strengthen the democratic integrity of Cardano’s governance.

The governance action for the Plomin hard fork was expected to be raised in December 2024, with community governance actors voting until January 2025.
Constitution submission: The delegate-approved Constitution was submitted on-chain for broader community consideration in January 2025, following the Plomin upgrade.
Second Committee elections: The second committee elections took place in April 2025, making Intersect’s committees fully elected bodies.

A key component of this work is the , which provides the community with real-time visibility into every Intersect-administered project. Smart Contracts and On-Chain Transparency
In 2025, Intersect introduced a new smart-contract framework that moves key elements of Treasury-funded administration directly onto the blockchain. Following the enactment of Treasury Withdrawal governance actions, funds are transferred into the (TRC). This smart contract securely holds Treasury funds on-chain rather than with any single administrator. From there, vendor-specific smart contracts are instantiated using the relevant , embedding each project’s delivery schedule, milestones, payment dates, and amounts into an auditable on-chain structure. Milestone Verification and On-Chain Accountability
Once a vendor smart contract has been signed, through a multisignature process involving Intersect, the independent oversight committee, and the vendor, its milestone schedule becomes active. When a milestone matures, the vendor withdraws payment directly from their contract instance, generating a transparent, verifiable record that links each withdrawal to the TRC and the original governance action. This creates a transparent chain of accountability from Treasury allocation to milestone payment, strengthening transparency and laying the foundation for increasingly automated Delivery Assurance processes in future funding cycles.

Now fully elected, they strengthened legitimacy, representation, and community ownership across all decision-making. A significant milestone was the Committee Reward Policy, adopted in Q4 2025. This policy establishes a sustainable model for recognising the work of elected committee members and supports long-term participation across Intersect’s governance bodies.
Alongside this, the ISC completed a comprehensive Intersect Decision-Making Framework, scheduled for publication at year’s end. This framework provides a unified reference for evaluating, escalating, and approving decisions across working groups, committees, and the Board, bringing greater transparency and predictability to Intersect’s internal governance.
The ISC also implemented enhancements to processes, incorporating recommendations from the Governance Working Group. These improvements strengthened verification, clarified eligibility, and increased fairness and transparency across all election cycles, supporting the smooth execution of the April and October committee elections and the expanded Board election.
In 2026, the ISC will focus on refining the decision-making framework, improving cross-committee coordination, reviewing the initial rollout of the Reward Policy, and continuing to strengthen governance safeguards as Intersect’s membership and responsibilities grow. The committee remains committed to providing clear, stable structures that support Cardano’s maturing governance ecosystem.
The (TSC) played a critical role in maintaining Cardano’s technical stability and advancing protocol development throughout 2024–2025. Its work spanned hard fork coordination, security readiness, protocol improvements, and long-term technical planning.
A significant milestone was the Plomin hard fork to protocol version 10, completing the activation of governance. The TSC coordinated parameter-setting, technical guardrails, and ecosystem readiness, while also managing a security incident over the December holiday that required urgent SPO upgrades to .
To strengthen future processes, the TSC created a Hard Fork Working Group (HFWG), now preparing Protocol Version 11 for Q1 2026. This upgrade includes significant Plutus improvements, BLS/M2M cryptography, and UPLC optimizations, delivering an expected 40–60% performance gain. Early planning has also begun for Protocol Version 12 and the upcoming Dijkstra ledger era.

Starting in late 2024, the committee established a structured process to gather insights from across the ecosystem. Input was sourced through business interviews with global organisations, including banks and brands such as Vodafone and Hublot, as well as local gatherings, in-person and remote workshops, and open surveys. This marked the first coordinated product research effort for Cardano.
With DRep support and budget allocation, the committee transformed this research into a first draft of the and Strategy. Through multiple iterations, refined via global workshops in Colombo, Nairobi, Singapore, Osaka, Tokyo, Barcelona, Cameroon, and beyond, the committee converged on a single Vision Statement, Mission Statement, and Strategy Document.
These drafts were shaped through a blend of enterprise insights, community feedback, and builder perspectives, ensuring broad representation and real-world applicability.
Once sufficient community consensus is reached, the long-term vision and strategy will be submitted on-chain for DRep approval. If ratified, they will become guiding documents for future processes, including budgeting, roadmap alignment, and ecosystem coordination.
Alongside this work, the committee began rolling out an open grant process to support community-led product research. This initiative decentralises insight generation and provides new avenues for contributors to influence Cardano’s future direction.
In 2026, the Product Committee will focus on completing community consensus for the 2030 Vision and submitting it for on-chain approval. The committee will also expand its product-research grants, strengthen collaboration with other committees, and begin shaping the first community-led annual roadmap informed by the long-term strategy. These efforts will help ensure Cardano’s future development remains coordinated, community-driven, and aligned with shared strategic goals.
The focused on strengthening Cardano’s governance by improving transparency, communication, and accessibility across the ecosystem. Building on lessons from the Constitution process, the committee prioritised making governance more straightforward to understand and more inviting for members, DReps, SPOs, and builders, ensuring participation remained informed, confident, and representative.
In 2025, the Civics Committee members wanted to focus on strengthening Cardano’s governance by improving transparency, communication, and openness across every part of their work and the system more widely.
Following lessons learned from the drafting of the Cardano Constitution, the committee prioritised making governance processes easier to understand and more inviting for members, DReps, SPOs, and builders. This included supporting DReps and SPOs through the first full budget cycle under Intersect by providing accessible explanations of roles and responsibilities, breaking down voting timelines, and attending community events to answer questions directly. The goal was an explicit desire to help ensure participation was informed, confident, and representative of the wider ecosystem.
Civics also finalised a clear 2025 charter, which centred on five focus areas reflective of the committee’s commitment to openness and active participation:

Earlier in the year, the facilitated the important transition from the Interim Constitutional Committee to a fully community elected committee. Its work placed transparency and fairness at the forefront, reviewing the initial ICC election process, recommending clearer registration and candidate expectations, improving voter education, and developing documentation for rotation and handover. These improvements were designed to help community members understand and trust the processes that shape Cardano’s constitutional guardianship.
Throughout the year, Civics amplified open communication through hosted X Spaces, giving community members a platform to speak directly to members and allowing voters to ask questions in real time. These sessions covered Constitutional Committee elections, Intersect committee elections, budget voting education, and governance tooling.
In close collaboration with Intersect professional staff, the committee recommended and rolled out a grant enabling optional . This initiative promotes funding for wallets, SDKs, and tools, ensuring the community understands how these models support long-term participation.
Looking ahead, the Civics Committee will continue to play a crucial role in supporting the decentralized governance model in 2026, with a focus on building an accessible and inclusive Constitutional Amendment Process and tackling incentive models for the governance bodies.
Across all of its work, the Civics Committee consistently pushed for more openness in all its actions, accessibility, and collaboration. Providing clearer communication, encouraging community contributions, and maintaining their commitment to transparent governance processes, Civics strengthened participation across the ecosystem and supported Cardano’s ongoing evolution in line with the Constitution and represented the needs of its global community.
The (GMC) was formally established in early 2025 to strengthen the ecosystem’s global visibility and to coordinate community-led marketing efforts across Cardano. As a newly created committee, much of the year was spent laying the groundwork, defining its mission, vision, charter, and operating processes, and beginning to support a more unified marketing approach within a decentralized environment.
During its bootstrap phase, the GMC developed a committee charter outlining its remit:

The study provided one of the most detailed looks to date at how the Cardano community perceives marketing effectiveness, coherence, and priorities.
Insights from the study were later presented during Day Zero at the , where community members engaged directly with GMC contributors to clarify marketing needs and discuss the future of Cardano’s promotional strategy.
Throughout the year, the GMC supported ecosystem promoters, event hosts, and marketers by offering guidance, feedback, and clearer coordination channels. This work helped reveal several challenges faced by regional communities, including inconsistent messaging, limited access to shared resources, fragmented promotional efforts, and frequent duplication of work.
To address these issues, the committee began drafting a revised marketing strategy informed by survey data, insights from workshops and community input sessions, and alignment with the ecosystem’s broader governance priorities. At the same time, the GMC continued to expand participation by actively encouraging marketers, designers, social hosts, and event organisers to contribute through open meetings and working sessions, thereby strengthening collaboration across the ecosystem.
In 2026, the Growth and Marketing Committee will focus on implementing a more structured and coordinated marketing approach across the ecosystem. Priorities include:

The (MCC) spent 2025 making participation easier, improving governance clarity, and strengthening the overall member experience. Early in the year, the committee refined its budget approach, aligned processes with Catalyst’s evolving model, and introduced more straightforward guidelines for async decision-making and working-group activity. MCC also supported the shift of town halls to a community–hub–led format, kept membership fees stable, and helped improve DRep engagement and communication on governance.
By mid-year, the committee finalised its remit and charter, set clearer expectations for participation, and onboarded new leadership roles. Its four-pillar roadmap, benefits, participation, recognition, and hub support advanced with the re-establishment of the Hubs Working Group, preparations for Fund 15, and the launch of new offerings, including office hours, member-led webinars, and enhanced enterprise packages.
With better tools, stronger communication, and closer collaboration across committees, MCC reinforced its role as the bridge between Intersect and its global membership.
In 2026, MCC will focus on deepening participation pathways and improving the member journey. Plans include expanding the Hubs Working Group, enhancing membership benefits, introducing new engagement tools in the Member Area, and improving governance understanding through more transparent communication and educational efforts.
The committee will also continue refining async decision-making and strengthening feedback loops to ensure membership remains accessible, meaningful, and aligned with the needs of the global Cardano community.
In 2025, Intersect held two successful rounds of committee elections, one in April and another in October, alongside the board elections, which also took place across the last quarter of the year, marking key milestones in the evolution of the organization’s governance model and member engagement.
The demonstrated remarkable participation, with 118 candidates standing across all committees and 522 unique members casting their votes. This represented 27% of the eligible paying membership, a strong indicator of the community’s growing commitment to actively shaping Intersect’s future.

In September 2025, Intersect held its . For the first time, four board seats were open for election, expanding member representation compared to the previous year. The process allowed members to select four representatives to the seven-member Board, which is responsible for guiding Intersect’s strategic direction and ensuring it remains aligned with its mission and community values.
The elections concluded with strong community engagement, as 269 members cast their votes, representing 22% of all paying members. The four elected members were Adam Rusch (187 votes), Kavinda Kariyapperuma (179 votes), Mercy Fordwoo (143 votes), and Rand McHenry (126 votes). To ensure continuity and renewal, Mercy Fordwoo and Rand McHenry will serve a two-year term, while the remaining two will serve a one-year term.
One of Intersect’s core goals in 2025 has been to make it easier for members to participate and contribute. Working groups and committees remain the primary avenues for meaningful involvement, so improving access to both elected seats and SME roles has been a significant priority. Open calls, Town Halls, X Spaces, and the Intersect Discord were refined throughout the year based on direct member feedback, ensuring clearer pathways into participation.
Member participation tools also continued to improve with a more transparent voting process, easier verification, and more intuitive election interfaces. Committees gained self-service tools to manage their own polls and chair elections, increasing transparency. To keep members informed, a new Updates section was added to the Member Area, allowing committees to post directly and members to tailor notifications.
From January to June 2025, Intersect’s membership grew steadily from 4,397 to 4,825 registered members and associates across more than 110 countries. This expansion reflects not just wider adoption but deeper trust in Intersect as the home for Cardano’s governance and community collaboration. Enterprise membership passed the 50-organization milestone, while associate and individual memberships continued to grow, strengthening grassroots involvement in governance, working groups, and committees. As we entered the mid-year renewal phase, membership stands at 3,959 active contacts, including 834.
Alongside this growth, extra value was added through participation badges, NFTs, member-offered perks, and free customisable Clay avatars. Looking ahead, upcoming features will allow members to create and join working groups directly, access clearer committee information, benefit from enhanced enterprise visibility, and connect through the Intersect Virtual Hub launching at the 2025 Annual Member Meeting.
Throughout 2025, Intersect strengthened community participation through a blend of in-person events and online discussions. Workshops, governance debates, and local meetups helped members engage with key governance topics, including the constitution, committee structures, governance actions, and upcoming milestones. These sessions translated complex governance issues into accessible, locally relevant discussions.

These developments signal a more focused and value-driven membership ecosystem as we move through 2025 and look ahead to renewed expansion in 2026.
Enterprise membership continued to strengthen throughout 2025, reflecting growing confidence in Intersect as the home of Cardano’s governance and ecosystem coordination. The program passed a key milestone early in the year, surpassing 50 active enterprise members, with steady onboarding from Web3 platforms, infrastructure providers, tooling companies, and ecosystem contributors across APAC, MENA, Europe, and North America. Engagement increased significantly through direct outreach, event participation, and the introduction of clearer communication channels tailored for enterprise partners.
