<summary><strong>1. General changes to ensure compliance with Wyoming Law</strong></summary>

### **What Changed?**

To adhere to latest requirements in Wyoming Law as well as consolidate the original ByLaws and Membership Governance documents (both making up Intersect’s ByLaws), Intersect’s legal counsel have restructured the whole document and updated language where required.

These changes also include adjusting the process to approve ByLaws changes, requiring, after Intersect Board approval, also approval from the eligible members. ### **What Changed?**

* The overall rule of One-Member-One-Vote have been made more explicit, reinforcing one of Intersect’s core principles (Article 2.8)
* The thresholds required for member votes, needed for different types of decisions, have been clarified and where needed updated to reflect both Wyoming Law requirements and the updated operational requirements ([Article 2](https://app.gitbook.com/o/Prbm1mtkwSsGWSvG1Bfd/s/o50OuflyxfUMOt8hHPn2/~/edit/~/changes/1295/intersect-membership/intersect-voting-events/2026-intersect-elections/july-2026-vote-to-update-bylaws/updated-bylaws-full-text#article-2-members))

### **Benefit**

Reinforcing the One-Member-One-Vote principle, alongside the clarified thresholds, provide further support as well as protection for all future voting events in the MBO, as well as ensuring that Intersect remains compliant with Wyoming Law.<br>

### **What Changed?**

The new ByLaws add intentional clarity regarding the principle of one-person holding one-membership. This new section clarifies what One-Person-One-Membership means within the constraints of both Wyoming Law and Intersect’s specific membership structure, as well as clarifying in which instances a person is allowed to hold multiple memberships. <summary><strong>4. Board Size and Terms, and Board elections</strong></summary>

### **What Changed?**

The new ByLaws have been updated to reflect the current Board structure. In particular they clarify a more flexible minimum and maximum number of Board members, ensuring alignment to Wyoming law, as well as clarify the Board member's term. To support the above, and following the members approved process for Board elections defined in 2025, the new ByLaws also clarify the Board elections broader process. The new ByLaws now accurately reflect the structure that members have already approved and are familiar with. They also provide more precise guidance for how to manage the Board and their elections, giving a clearer framework to the Intersect Steering Committee, and members overall, on how to define future detailed policies.

<summary><strong>5. Executive Director ability to protect Intersect’s governance</strong></summary>

### **What Changed?**

The new ByLaws provide clearer guidance regarding circumstances where the Executive Director may need to take prompt operational action to protect the integrity of Intersect’s governance processes, Members, or organizational operations, subject to requirements of the Bylaws.
